L&L Partners assists Center Rock in acquisition of companies based in US, India

New Delhi, July 3, 2021: The Corporate/ M&A team of L&L Partners recently assisted Center Rock Capital Partners, LP, a US-based private equity firm in its acquisition of companies engaged in engineering services, field services, and parts manufacturing based in the US and in India. 

The Law Firm assisted Center Rock in all aspects relating to the India leg of the transaction including conducting due diligence of the Indian entity, structuring the sale of shares of the Indian entity, reviewing transaction documents, advising on Indian foreign exchange laws and tax laws, and assisting in closing activities, L&L Partners said in a statement. 

The transaction was structured as an all cash deal, preceded by internal restructuring, it said.

The transaction was led by Partner Shinoj Koshy who was assisted by Managing Associate Vipin Sharma, and Associates Aishwarya Mudgil and and Purvi Khanna. 

Partner Lokesh Shah and Managing Associate Mayank Aggarwal advised on the tax aspects of the transaction, L&L Partners said.

Center Rock focusses on PE investment in the industrial sector. This acquisition will help in Center Rock enhance its presence in the Indian industrial sector, the statement said.
