DSK Legal advises Kotak Investment, Aquaexchange Agritech in separate deals

New Delhi, July 4, 2022: DSK Legal has advised Kotak Investment Advisers Limited (KIAL), in relation to the closure of its 12th real estate fund for investments in office assets in India, the Law Firm has said.

DSK Legal assisted KIAL in reviewing, negotiating and revising the contribution agreements, investment management agreement and the trust deed and drafting and reviewing of all other ancillary documents related to the transaction, the Firm said in a press statement.

The team representing DSK Legal comprised of Mr. Hemang Parekh (Partner), Ms. Pooja Khanna (Principal Associate) and Ms. Saumya Malviya (Senior Associate).

This fund will have a corpus of USD 590 million and is formed with a wholly owned subsidiary of Abu Dhabi Investment Authority (ADIA). It is domiciled in Gujarat International Finance Tech City (GIFT City), the statement said.

DSK Legal has aldo advised Aquaexchange Agritech Private Limited and its Founder, Mr. Pavan Kosaraju in relation to their Pre-Series A Round led by Accion Venture Lab Holdings LLC, Endiya Trustee Private Limited alongside the existing investors of Aquaexchange, i.e. (i) NS Trading and Investments LLP, (ii) Vignan Publishers Limited, (iii) AZ Gems Inc. and (iv) other individual investors. 

The statement said the scope of work of DSK Legal included: (i) reviewing, finalising term sheet for the transaction; (ii) advising on the business structure of Aquaexchange; (iii) assisting Aquaexchange in the due diligence process being conducted by the Lead Investors; (iv) reviewing, revising, negotiating and finalizing of the share subscription agreement and shareholders agreement for the investment by the Investors in the Company; (v) assisting in completing conditions precedent to the transaction; and (vi) revising and finalizing employment agreement, ancillary agreements and closing documents for completion of the transaction.

The deal value was USD 3 Million and the DSK Legal team for the above transaction was led by Associate Partner Mr. Jayesh Kothari, Senior Associate Ms. Hemanshi Gala and Associate Mr. Kunal Chopra, the press statement said. 

Aquaexchange is an integrated full stack seafood and shrimp platform which provides services in the aquaculture ecosystem including, inter alia, smart farm automation technology, harvest as a service and financing solutions in relation thereto. 

The Lead Investors were represented by Rajaram Legal.
